Sunshine Seafood Company Ltd. is a limited liability company incorporated in, and operating from, the Commonwealth of the Bahamas. There is no legal impediment to the company acquiring loan capital and pledging its assets as security and or issuing new ordinary shares to new investors / equity partners. The main activity of the company is the processing and sale of seafood: an activity it has been engaged in for over 12 years. There was a period of inactivity (4 years to April 2007) when operations were relocated, and new facilities constructed and equipped. The principal and CEO of the company is Mr. Lewis Cartwright who has over 18 years of experience in the seafood business. Currently all issued shares of the company are in his name. The company’s products are sold mainly in the wholesale markets under its own label “Caribbean Queen” and also under the private labels in the USA, Canada and Europe. Customers and Markets. 1. Sunshine Seafood products are already in the wholesale markets of USA, Canada, and Europe. The fishing / seafood industry is a major industry in the Bahamas (over US $ 100 million). In the past, Sunshine was forced to refuse both available supplies of seafood, and some customers’ orders because of a shortage of working capital funds. 4. As world trade becomes more liberalized (within WTO frameworks and cheaper communications: i.e. internet), more companies are trying to source seafood around the world. Sunshine Seafood because of its structure, experience and marketing affiliates is positioned to take advantages of this growing global demand for seafood. 5. Sunshine has plans to process and package products for the retail / convenient foods markets. Competitive Advantages. Bahamas seafood has a preferential place in the seafood market, because of the special species and the quality resulting from “natural processing techniques”. The financial and operating frameworks of some of the larger plants do not permit them to readily accept, process and deliver timely, orders from new customers. Sunshine on the other hand has both the processing capabilities and the financial and operational flexibility to accept, process, and deliver timely, large orders from new customers. Because of the background of the principals of Sunshine, the company has excellent relationships with fishermen and owners /operators of major fishing vessels. (Working capital deficiencies have hindered Sunshine’s ability to fully exploit these relationships). It should also be noted that the Bahamas does not have income taxes so all earnings in the country are tax-free. Projected Cash-flows show that an investment of about U.S $1,000,000 is required to provide the working capital support for the projected sales level. A further US $2,000,000 is needed for debt consolidation, with a similar amount (US $2,000,000) required for further expansion to take advantage of available opportunities.
